Terms and Conditions
These Terms and Conditions (the “Terms”) govern the monthly Hospitality Recycling Program service (the “Program”) provided by Clean the World Global LLC, a Florida limited liability company with its principal place of business at 2544 E. Landstreet Rd., Suite 600, Orlando, FL 32824 (“Clean the World”), to the hotel or hospitality property identified at signup (the “Participant”). By checking the acknowledgment box and submitting payment information at signup, Participant agrees to be bound by these Terms.
1. Program Services
Clean the World will furnish, at its sole cost, the labor, equipment, materials, and services required to collect, process, and distribute hospitality-related items, including soap bars, shampoo, conditioner, lotion, bath gel, and other items as agreed between the parties (the “Hospitality Items”). Service includes collection boxes and shipping logistics, processing through Clean the World’s proprietary recycling process, distribution of recycled product to designated recipients, and real-time impact reporting through the Clean the World online portal.
2. Month-to-Month Term
This is a month-to-month service. There is no fixed-term contract and no minimum commitment beyond the then-current billing month. The service begins on the date Participant’s signup is accepted by Clean the World (the “Start Date”) and continues month to month until terminated in accordance with these Terms.
3. Promotional First-Year Discount
Eligible new Participants who sign up during the promotional period receive a first-year discount equal to one (1) month of service, allocated evenly across the first twelve (12) months. Instead of a single free month, Participant’s monthly charge during months one (1) through twelve (12) will equal eleven-twelfths (11/12) of the standard monthly rate quoted to Participant at signup. A valid credit card is required at signup, and recurring monthly billing begins on the Start Date. The promotional first-year discount is available only to new Participants and may not be combined with other offers. If this Agreement is terminated before the end of month twelve (12) for any reason, the discount applies only to the months actually billed; no portion of the discount is refundable, transferable, or payable as cash. The discount is available only once per hospitality property. If service to a property is terminated and the same property (regardless of any change in ownership, management company, brand affiliation, or legal name) later re-enrolls, or if Participant or any parent, subsidiary, affiliate, successor, or related entity re-enrolls the same property, the re-enrollment will be billed at the standard monthly rate from the Start Date of the new enrollment, with no discount and no renewed promotional period. Clean the World determines eligibility in its reasonable discretion, and may, at its option, retroactively reverse any discount applied to a re-enrollment and charge Participant’s card for the difference.
4. Billing and Payment
- Credit card required. Participant must provide a valid credit card at signup. Participant authorizes Clean the World (and its payment processor) to charge that card, or any replacement card Participant provides, for all amounts due under these Terms.
- Monthly billing. Participant’s card will be charged monthly, in advance, for each upcoming month of service beginning on the Start Date. The monthly rate is the rate quoted to Participant at signup, calculated based on the number of rooms enrolled, and reflects the first-year discount described in Section 3 during months one (1) through twelve (12).
- Failed payments. If a charge is declined, Clean the World may suspend service until payment is current. Repeated payment failures may result in termination under Section 6.
- No refunds. All amounts paid are non-refundable, including for partial months and in the event of termination by either party.
5. Price Escalation
To offset Clean the World’s continuing increases in labor, fuel, and shipping costs, the monthly rate is subject to a price escalation. Beginning with month thirteen (13) of service, the first-year discount described in Section 3 no longer applies and Participant will be billed at the standard monthly rate quoted at signup. On the first day of month thirteen (13), and on each twelve (12) month anniversary thereafter, that standard monthly rate will increase by three percent (3%). For the avoidance of doubt, no escalation applies during the first twelve (12) months of service, and the 3% increase is calculated on the standard monthly rate, not on the discounted first-year rate.
6. Termination
- Termination for convenience. Either party may terminate this Agreement at any time, for any reason or no reason, effective at the end of the then-current billing month, by providing written notice to the other party at least ten (10) days before the next billing date. Notice from Participant must be sent to the email address designated by Clean the World for cancellations.
- Termination for breach. Either party may terminate immediately for material breach if the breaching party fails to cure within thirty (30) days after written notice of the breach.
- Effect of termination. Service continues through the last paid day of the then-current billing month. No refunds will be issued for the unused portion of any billing month. Participant remains responsible for returning or making available any Clean the World property in its possession.
7. Ownership of Hospitality Items
Title and responsibility for Hospitality Items transfer to Clean the World upon receipt at a Clean the World processing center. Clean the World is responsible for the transportation, processing, and distribution of Hospitality Items from that point forward, and certifies that no Hospitality Items processed under the Program enter a landfill.
8. Reporting
Clean the World will provide Participant with real-time impact reporting through the Clean the World portal, including property-level data on bar soap collected (by weight and estimated bar count), estimates of people impacted, volume of amenity-bottle plastic processed, and other relevant impact data.
9. Service Standards
Clean the World will use commercially reasonable efforts in delivering the Program, including with respect to consistency, timeliness, and scheduling. Except as expressly stated in these Terms, the Program is provided on an “as-is” basis, and Clean the World disclaims all other warranties, express or implied, to the maximum extent permitted by law.
10. Changes to These Terms
Clean the World may modify these Terms or the monthly rate from time to time. Clean the World will provide Participant with at least thirty (30) days’ prior written notice (which may be by email) of any material change. If Participant does not agree to a change, Participant’s sole remedy is to terminate under Section 6 before the change takes effect.
11. Entire Agreement; Governing Law
These Terms, together with the signup information submitted by Participant, constitute the entire agreement between the parties regarding the Program and supersede all prior or contemporaneous understandings, written or oral. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The parties agree that exclusive venue for any dispute arising out of or relating to these Terms shall lie in the state or federal courts located in Orange County, Florida.
12. Acknowledgment
By checking the acknowledgment box at signup, Participant confirms that the person submitting the form is authorized to bind Participant, has read and understood these Terms, and agrees to be bound by them, including the authorization to charge Participant’s credit card on a recurring monthly basis as described above.
